WICSO EXECUTIVE COUNCIL CHARTER ================================= World Islamic Countries Organisation for Scouts and Guides Approved by the General Assembly on 15 March 2023 1. PURPOSE ---------- The Executive Council is the governing body of WICSO, responsible for the strategic direction, oversight, and management of the organisation between meetings of the General Assembly. 2. COMPOSITION -------------- The Executive Council shall consist of: - Chairperson (elected by General Assembly) - Vice-Chairperson (elected by General Assembly) - Secretary General (appointed by Executive Council) - Treasurer (elected by General Assembly) - Eleven elected members representing diverse geographic regions and expertise areas 3. ELIGIBILITY AND TERMS -------------------------- Council members shall be representatives of Full Member organisations in good standing. Terms shall be four years, renewable once. No member shall serve more than eight consecutive years. 4. POWERS AND RESPONSIBILITIES ------------------------------- a) Implement decisions of the General Assembly b) Develop and approve organisational policies c) Approve the annual budget and work plan d) Appoint the Secretary General and senior staff e) Establish committees and working groups f) Monitor organisational performance and financial health g) Represent WICSO in external relations 5. MEETINGS ------------ The Council shall meet at least twice per year. Meetings may be held in person or virtually. Special meetings may be called by the Chairperson or upon request of at least five Council members. Quorum shall be eight members. 6. DECISION-MAKING ------------------- Decisions shall be made by consensus where possible. Where consensus cannot be reached, decisions shall be made by a majority vote of members present and voting. The Chairperson shall have a casting vote in the event of a tie. 7. ACCOUNTABILITY ------------------ The Executive Council shall report to the General Assembly and shall be accountable for its actions. Annual reports shall be submitted to all members.
